Alejandro Fliquete Cervera Notary · Paterna

Setting up a limited or public company, increasing capital, appointing directors or changing the articles of association is formalised in a public deed before a notary, which is then registered in the Commercial Registry.

Para empezar, tenga a mano:

  • DNI o NIE de los socios
  • Certificación negativa de denominación · Si procede

Puede adjuntarlos en el encargo online o aportarlos más adelante.

Cómo funciona

  1. Send the details of the partners and of the company, and the articles of association if you already have them.
  2. The notary’s office reviews the details and prepares the deed and the articles of association.
  3. The partners or their representatives sign before the notary, at the office or, in many cases, by video call.
  4. The deed is filed in the Commercial Registry and the company is registered.

Preguntas frecuentes

What do I need to set up a company?

The details of all the partners, the name you want for the company (with a certificate from the Central Commercial Registry that it is not in use), the corporate purpose, the capital and who will be the director.

How much capital is needed?

It depends on the type of company. The notary’s office will explain the minimums and how the capital is contributed.

Can I set it up without going to the notary’s office?

In many cases, yes: the incorporation and other company resolutions can be signed by video call through the official notarial portal, with a valid electronic ID. There are exceptions, for example when assets are contributed instead of money. The notary’s office will confirm whether your case allows it.

How long does registration take?

The time depends on the Commercial Registry and on the documents. The notary’s office will give you an estimate.
